BE TRANSPARENT: Don’t try to hide the fact that the content is paid for as you and the Client will lose credibility if you do. Keep up to speed with best practices and developments on how to label posts in a transparent way. Label your content with #ad or “Paid Partnership” in the title or thumbnail of your content. If you have received a gift, this needs to be specified as well.

BE HONEST: If you wouldn't recommend or use the Client for free - don't recommend it for profit.

BE GENUINE: We only work with Influencers who have organically grown their audience. If you’re misrepresenting the size of your audience or engagement in your content, we reserve the right terminate your account with us.

BE CREDIBLE: If you are recommending competing Clients in quick succession or over-populating your feed with sponsored posts, you’ll lose credibility.

About Us

Acceptance of terms

  1. TRIPFLUENCERS Platform allows Clients and Influencers to interact, form relationships, buy and sell Paid Content, create and distribute sponsored Posts through the Influencer’s Channels (Twitter, Instagram and/or Facebook) subject to compliance with these Terms of Use. In these Terms of Use, Clients and Influencers are collectively and individually referred to as “users”, “they” or “you’ as the context requires.

  2. Users’ access to and use of the TRIPFLUENCERS Platform is conditional upon the agreement with and acceptance of the Terms of Use. When using the TRIPFLUENCERS Platform, users agree to be bound by these Terms of Use. If users do not wish to be bound by these Terms of Use, they must not use the TRIPFLUENCERS Platform. 

  3. We may at any time revise the Terms of Use by updating this page and notifying users. Revisions will take immediate effect and may affect user’s ability to use the TRIPFLUENCERS Platform. Further use of the TRIPFLUENCERS Platform following the posting of any revisions to these Terms of Use constitutes user’s acceptance of the revised Terms.

  4. Upon termination, the rights and obligations concerning Intellectual Property Rights, Representations and Warranties, Confidential Information and this very clause will survive expiration of the Influencer Terms.

Registering an account

  1. To use the TRIPFLUENCERS Platform, Influencers must register an account (‘Influencer Account’).

  2. All information provided when registering an Account must be current, correct and complete. Incomplete, ineligible or incomprehensible Account registrations will not be valid.

  3. TRIPFLUENCERS reserve the right to refuse or cancel registration of an Account for any reason in our sole discretion. Any decision of TRIPFLUENCERS will be final and no discussion will be entered into by us.

  4. Users may not create more than one account. If, for any reason, we will cancel or suspend your account, you will not create another account without our permission.

  5. Users are solely responsible for maintaining strict confidentiality of their Account details and for any activity under their Account. It is user’s sole responsibility to control access to and use of the Account and to notify TRIPFLUENCERS of their desire to cancel the Account. TRIPFLUENCERS will not be responsible or liable for any losses arising from user’s failure to comply with this provision.

  6. TRIPFLUENCERS retain the right and absolute discretion to suspend or terminate user’s account, and/or access to the TRIPFLUENCERS Platform (or any element thereof), if we believe that the user is abusing or tampering with the Platform in any way, has breached the Terms of Use or has engaged in any unlawful, unethical or other misconduct which could jeopardise the proper administration of the Platform.

    TRIPFLUENCERS reserve legal right to recover damages or other compensation from an offender.

  7. The use of any automated software or any other mechanical or electronic means allowing Users to create Accounts is prohibited.

  8. Users understand that in creating an Account they are providing information to TRIPFLUENCERS and not to any social media platform and are solely responsible and liable for any Content or information transmitted to other users.

  9. Influencer agrees to indemnify TRIPFLUENCERS for any losses incurred by them or the Client following any negative publications on social media by the Influencer.

  10. Any questions, comments or complaints about the TRIPFLUENCERS Platform or service must be solely directed to TRIPFLUENCERS and not to any third party (including media or social media platforms).

Representations

  1. By registering an account on the TRIPFLUENCERS Platform you hereby represent, warrant and covenant to TRIPFLUENCERS that: 

  • you are at least 18 years of age

  • you have the full right, power and authority to enter into these Influencer Terms, to grant the rights and licenses under these Terms and to perform your obligations under these Terms 

  • you have not, and for the duration of the Influencer Terms will not, enter into any oral or written contract or negotiations with any third party that would impair the rights granted to TRIPFLUENCERS or to the Client under the Influencer Terms, or limit the effectiveness of these Terms

  • you are not aware of any claims or actions that may limit or impair any rights granted to TRIPFLUENCERS or the Client

  • you have not in the past, nor will you in the future buy, or obtain any fake followers, likes or comments by any means whatsoever, in order to misrepresent the number of real followers, likes or comments on your social media platforms

  • you agree:

    1. to comply with any specific rules of the Client;

    2. to provide only accurate, factual information (your full name, your email address, and any other information) when signing up

    3. to provide ID (passport or valid driving licence) as proof of age whenever requested to do so by a Client; 

    4. to acknowledge that TRIPFLUENCERS are not responsible for the opportunities offered or the quality of the experience provided by any Client. TRIPFLUENCERS is merely acting as an agent connecting Influencers with opportunities presented by Clients;

    5. that additional services outside the specific Campaign will be subject to the Influencer Terms and will need to be charged separately;

Use of the Platform

  1. The TRIPFLUENCERS Platform allows Clients to create Campaigns via Campaign Builder, which are then shared with Influencers on the Platform. Influencers using the Platform can respond to a Campaign by creating a Post and/or Stories (“Content”) and submitting it to the relevant Client for approval. Influencers receive payment (monetary or non-monetary) when Client approves the Post/Story and it is published to the Influencer’s Community via their social channels.

  2. The relevant Client, not TRIPFLUENCERS, is solely responsible for reviewing and approving the Posts that form part of their Campaign and for the Payment to Influencers.

  3. Content is provided by the relevant Influencer or Client, as applicable, and is not moderated, approved or endorsed by TRIPFLUENCERS. Accordingly, no Content constitutes a representation by TRIPFLUENCERS, nor do TRIPFLUENCERS accept any liability for the legality, validity, accuracy or suitability of any content provided by Influencers or Clients.

  4. TRIPFLUENCERS do not have any obligation to pre-moderate, monitor, edit or remove any Posts. If the Posts violate these Terms of Use, either Influencer or a Client will bear legal responsibility for these Posts.

  5. Influencers and Clients agree that they will not attempt to negotiate terms or payment with each other outside of the TRIPFLUENCERS Platform. Without limiting any other rights or remedies available to TRIPFLUENCERS, any attempt to circumvent the TRIPFLUENCERS Platform may result in removal from the Platform at TRIPFLUENCERS’ sole discretion.

  6. Clients and Influencers are solely responsible for their interactions with each other on or outside the TRIPFLUENCERS Platform. TRIPFLUENCERS are not responsible for the conduct of any user.

  7. Nothing in these Terms of Use creates or is intended to create a partnership, agency, employment or fiduciary relationship between TRIPFLUENCERS and the users.

  8. Subject to users’ compliance with these Terms of Use, users are granted a limited, non-exclusive, revocable and non-transferrable licence to access and use the TRIPFLUENCERS Platform in the manner stipulated in these Terms of Use. Any costs associated with accessing and using the TRIPFLUENCERS Platform generally remains user’s responsibility and is dependent on the service provider used. Users are responsible for ensuring that their computer system or mobile device (as applicable) is compatible with the TRIPFLUENCERS Platform and meets all relevant technical specifications necessary to obtain the benefit of the TRIPFLUENCERS Platform.

  9. The TRIPFLUENCERS Platform may contain links to other sites not maintained by TRIPFLUENCERS (‘Linked Sites’). TRIPFLUENCERS are not responsible for the content of any Linked Sites, whether or not TRIPFLUENCERS are affiliated with the Linked Sites. TRIPFLUENCERS make no claim or representation regarding, and accept no responsibility, directly or indirectly, for the quality, nature or reliability of Linked Sites. TRIPFLUENCERS provide links to the Linked Sites only as convenience to users of the TRIPFLUENCERS Platform. The inclusion of a link to any Linked Site does not imply any affiliation with or endorsement by TRIPFLUENCERS.

  10. The TRIPFLUENCERS Platform may also utilise social network or share functionality and may contain social media links, applications or features. Use of any social media platforms is subject to the particular social media platform’s prevailing terms and conditions. By using any social media applications or features on the TRIPFLUENCERS Platform, users consent and agree to be bound by the particular terms and conditions of use of the social media platform. Users also acknowledge and consent to TRIPFLUENCERS accessing information they may have shared with the particular social media platform and contacting them via the social media platform.

  11. TRIPFLUENCERS reserve the right at all times to remove or refuse to distribute any Content on the TRIPFLUENCERS Platform, to suspend or terminate users, and to reclaim usernames. We also reserve the right to access, read, preserve and disclose any information as we reasonably believe is necessary to:

    1. satisfy any applicable law, regulation, legal process or governmental request;

    2. enforce the Terms, including investigation of potential violations hereof;

    3. detect, prevent, or otherwise address fraud, security or technical issues;

    4. respond to user support requests; or 

    5. protect the rights, property or safety of TRIPFLUENCERS, its users and the public.

Campaign assignment and payment

  1. TRIPFLUENCERS offer advertising assignments related to Campaigns to their Influencers through posting an assignment on the TRIPFLUENCERS Platform (‘New Campaigns’). Influencers must apply via the Platform if they wish to apply for a specific assignment opportunity (‘Joining Campaign’).

  2. The Client must accept the Influencer’s campaign to create a contract between the Client and Influencer (‘Campaign Acceptance’).

  3. After an approved Post/Story is published and is accepted by a Client, an Influencer will be entitled to a Payment (monetary/non-monetary or both), subject to Influencer’s compliance with the Terms of Use and the House Rules. Before receiving a Payment, the Influencer will be asked to provide financial details including the nominated bank account. TRIPFLUENCERS will make Payment into Influencer’s nominated bank account on behalf of the Client by Electronic Funds Transfer approximately 14 days after Payment has been received from the Client. TRIPFLUENCERS will issue a tax invoice for this purpose. No other Payment will be made in respect of each Campaign unless the Client's Campaign Assignment specifies otherwise. Influencer is responsible for the accuracy of the nominated bank account details.

  4. Influencer will discuss the terms of the Campaign with the Client on the TRIPFLUENCERS platform. TRIPFLUENCERS will require access to all terms as discussed, in order to quickly assess, in the event of a dispute, what was agreed at the time of the Campaign Acceptance.

  5. Influencer understands that Joining the Campaign via TRIPFLUENCERS platform does not constitute automatic Acceptance by the Client.

  6. Influencers will be paid in GBP (pounds sterling) at any time.

  7. The PAYMENT made by TRIPFLUENCERS is strictly confidential, and Influencers must not disclose it to any third party other than to any relevant tax authority or as required by law. 

  8. Influencer acknowledges and agrees that the relevant Client, not TRIPFLUENCERS, will be solely liable for the Payment for the approved Posts. TRIPFLUENCERS facilitates such Payment on behalf of the Client and, while TRIPFLUENCERS may remit payment to the Influencer directly to the account details provided by Influencer, under no circumstances do TRIPFLUENCERS accept liability for Payment, to be reviewed by TRIPFLUENCERS on a case-by-case basis. Influencer agrees not to pursue any actions, legal or otherwise, against TRIPFLUENCERS for any non-payment by the Client, and consents that this provision constitutes a bar to any such proceedings.

Participating in a campaign

  1. Influencers, in the performance of the Campaign, represent and warrant that they will comply with all the terms specified below.

  2. Posts must adhere to the requirements contained in these Terms of Use, and any additional requirements imposed by Clients as part of a Campaign or instructions provided by the Client at the time of submitting the Post for approval. Posts which do not comply with this condition may be removed from the TRIPFLUENCERS Platform at TRIPFLUENCERS’s discretion.

  3. Influencers will aim to positively reference the Client’s venue/service/product(s) in some way whilst being accurate and ensuring that any statements that Influencer makes are true and reflect their honest opinions, findings, beliefs, experiences or sentiments.

  4. Influencers will only make a factual statement about a Client or its product or service which the Influencer knows for certain is true and can be verified.

  5. Influencers are not permitted to send any communications on Client’s behalf.

  6. Influencers must clearly disclose in sponsored Posts their relationship with the Client in a way which is clear to the ordinary follower. This may be achieved through the prominent use of hashtags such as #advertisement or #ad or through other suitable means.

  7. The Users (Clients and Influencers) are encouraged to resolve any potential dispute among themselves. TRIPFLUENCERS offer dispute resolution and shall provide a final decision in cases of unresolved conflict. The TRIPFLUENCERS’ decision shall be binding on all parties involved.

  8. TRIPFLUENCERS reserve the right, but are in no way obliged, to review and monitor the disclosure practices of all Influencers in relation to the Posts.

  9. Influencers will not post anything on any social media account, channels or platforms to disparage either TRIPFLUENCERS or any Client they are currently or have previously performed a Campaign for.

  10. Influencers’ posts will not contain or link to any content that contains any misstatements of law, falsehood, obscenity, severe profanity, or is unlawful, obscene, defamatory, libellous, threatening, pornographic, bullying, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offence, give rise to civil liability, violate any law, or is otherwise inappropriate.

  11. Influencers will behave professionally and responsibly during the Campaign performance.

  12. Influencers shall not, from the Campaign Acceptance until the Campaign is completed, render any services of any kind directly or indirectly for any competitor of TRIPFLUENCERS or a Client, including partaking in any programme, promotion or other project that would detract from the Campaign Influencer is engaged in.

  13. Influencers must feature the Client’s venue/product/service most prominently in their post.

  14. Influencers must share the images on social media within the timeframe specified in the Campaign Assignment.

  15. Influencers should own the Intellectual Property Rights or, if not, should get permission from any third parties featured in photos and other posted content – for example, a signed release, waiver, or other form of written permission from those third parties – even if the Influencer took the photo, they must know the individuals involved and/or obtained a consent.

  16. If Influencer is unsure about the piece of work, particularly with regards to third-party trademark/logo, or music, film or television clips, or a celebrity’s name, photo or image, they should check with the Client before using the work.

  17. Influencers will not commit any act which brings TRIPFLUENCERS or the Client into public disrepute, contempt, scandal, or ridicule, or which insults or offends the community to which advertisements are directed, or which might tend to harm TRIPFLUENCERS or any Client including disparaging TRIPFLUENCERS, the Client, their products or services, or their competitors. Influencers must let the Client know if they notice that someone has posted a false comment about the Client.

  18. Influencers must have a public profile in order to use TRIPFLUENCERS Platform with a minimum of 25,000 organically obtained Followers. The profile cannot be made private during Performance of the Campaign or 30 days after.

  19. Influencers will not remove any content posted as part of a Campaign for at least 12 months after the date of posting. If this occurs, TRIPFLUENCERS and/or the Client is entitled to ask the Influencer to repost that content or similar alternative content in lieu (if that content has been permanently deleted).

  20. Influencers acknowledge and agree that the Client has the right at any time to moderate any Post after publication to a Channel and that they will immediately make any reasonable modification or amendment requested by the Client, subject to compliance with these Terms of Use. Influencers also agree that if the post is incorrect the Client may request that the post is corrected immediately.

  21. Influencers acknowledge and agree that the relevant Client will not be required to remove from its social media channels any Posts or comments, share or re-post of a Post after the contractual period has expired.

  22. Influencers agree not to delay post publishing after the Client’s approval unless differently specified in the Campaign Assignment.

  23. Influencers agree not to edit any approved Post before or after it has been published other than in accordance with these Terms of Use.

  24. Influencers will not grant any further rights in a Post to the Client, unless stated in the Campaign, without written consent of TRIPFLUENCERS and after additional Payment is agreed through the Platform.

  25. Influencers will not accept or attempt to negotiate with the Client more than the amount of Post specified in the Campaign.

  26. Influencers understand that if they fail to fulfil all the requirements set out in the Campaign Assignment the Client may refuse payment.

Intellectual property

  1. During the Campaign performance Influencers will create and post content related to the Campaign on their personal social media accounts as required by the Campaign Assignment. Such content is known as ‘Influencer Content’ and may include photographs, Boomerangs, videos, original artwork, text, intellectual property, and any other type of content or media that Influencers may create or be posted on their social media accounts. 

  2. Influencers retain the IP rights to the Content while granting permission to TRIPFLUENCERS to repost it on the Platform and their social channels

  • in any manner, without further consent of the Influencer or additional Payment to the Influencer.

  • the right to use the Influencer’s Identity and performances in the Post and to communicate the Post to the public in all languages, in all media channels.

  1. In consideration for the Payment, Influencers agree to grant in respect of each and every Post to the relevant Client and their agents:

  • the right to organically share, comment upon and organically re-post the relevant Post in the social media or other channels and

  • the right to use the Influencer’s Identity and performances in the Post and to communicate the post to the public in any media channels or by other advertising means (including but not limited to print, digital and/or social media).

  1. Influencers, in respect of each Post, consent to the relevant Client and its successors and anyone authorised by them to changing, copying, adding to, taking from, adapting or translating, in any manner or context or doing any other act in respect of the Post.

  2. Influencers represent and warrant that the Work Product will be their original work and that it will not infringe or misappropriate the intellectual property rights of any third party.

  3. Influencers acknowledge and agree to grant TRIPFLUENCERS and the Client a non-exclusive, perpetual, royalty-free license to display, post, share, pin, copy, modify, create derivative works from and otherwise use your name, voice, photographs, and audio/video recordings for advertising and promotional purposes without limitation in any media.

  4. Influencers acknowledge and agree that they have obtained the necessary assignments and releases from any third party who may have created or contributed to the images and Work Product, and any third party depicted or who may have rights in the images or Work Product, and further agree to provide copies of the assignments and releases on request. 

Dispute resolution

  1. TRIPFLUENCERS will not be responsible for any dispute Influencer may have with other users or the Client of the TRIPFLUENCERS Platform.

  2. Influencers are encouraged to resolve the dispute with other users among themselves.

  3. TRIPFLUENCERS will offer a dispute resolution service in circumstances of unresolved dispute between the Client and Influencer. TRIPFLUENCERS’ decision will be final and binding on all parties involved in the dispute.

  4. If a dispute arises between Influencer and TRIPFLUENCERS, we encourage you to contact us directly to seek a peaceful resolution. We will consider reasonable requests to resolve the dispute amicably and, if necessary, through alternative dispute resolution procedures, such as mediation or arbitration, as alternatives to litigation.

Influencer’s status

  1. Influencer will perform all obligations under these Terms as an Independent Contractor/Entity and not in the capacity of an employee, partner or agent or any other capacity which may be construed as employment or joint venture.

  2. Influencer is solely responsible for all tax returns and payments required to be filed with, or made to, any tax authority with respect to the completion of any Campaign and receipt of Payment under the Influencer Terms, and will not under any circumstances hold TRIPFLUENCERS or the Client accountable for any tax liability arising out of the Campaign.

  3. Influencer understands and agrees that TRIPFLUENCERS or the Client will not withhold any taxes on Influencer’s behalf.

  4. Influencer agrees that neither TRIPFLUENCERS nor the Client will be obliged to pay to or recover from them any amount as a result of Influencer being deemed to be an employee of either; including but not limited to annual leave, national insurance contributions, income tax, pension, sick leave.

  5. Influencer agrees not to negotiate terms or payment from Clients outside the TRIPFLUENCERS Platform. Failure to adhere to this term, may result in the removal of Influencer from the TRIPFLUENCERS Platform.

  6. Influencer agrees that under no circumstances will they assert any portrayal, representation, impersonation or depiction of the Influencer in the Posts as a violation of the Influencer’s rights, including but not limited to right of privacy, publicity, misrepresentation, or bring a claim against TRIPFLUENCERS or the Client for any alleged breaches in respect of the above.

Duration and Termination

  1. These Influencer Terms are in force from the moment Influencer registers with the Platform and are valid until termination.

  2. TRIPFLUENCERS may terminate the agreement at any time in the event of material breach committed by the Influencer. If the Influencer terminates the agreement prior to completion of the Campaign, they forfeit any rights to Payment for that Campaign, and TRIPFLUENCERS are entitled to recover from Influencer any loss of earnings resulting from non-completion of the Campaign. 

  3. Upon termination, the rights and obligations concerning Intellectual Property Rights, Representations and Warranties, Confidential Information will survive any termination or expiration of the Influencer Terms.

License to use the platform

  1. TRIPFLUENCERS own the intellectual property rights in the Platform and influencers own the materials they produce for the Platform. All these intellectual property rights are reserved. Should Clients wish to use the materials for their own marketing purposes, this will be subject to additional payments.

  2. Users may view, download and print content from the Platform for personal use, subject to the restrictions set out below and elsewhere in these terms and conditions. 
    Users must not: 
    (i) republish material from this Platform either in hard copy or on another Platform;
    (ii) sell, rent or sub-license material from the Platform;
    (iii) show any material from the Platform in public;
    (iv) reproduce, duplicate, copy or otherwise exploit material on our Platform;
    (v) edit or otherwise modify any material on the Platform;
    (vi) redistribute material from this Platform; or
    (vii) create a link to any page of this Platform.

Acceptable use

  1. Users must not use the Platform in any way that causes, or may cause, damage to the Platform or impairment of the availability or accessibility of the Platform; or in any way which is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity. 

  2. Users may not create a link to any page of this Platform without our prior written consent. 

  3. Users must not use the Platform to copy, store, host, transmit, send, use, publish or distribute any material which consists of (or is linked to) any spyware, computer virus, Trojan horse, worm, keystroke logger, rootkit or other malicious computer software. 

  4. Users must not conduct any systematic or automated data collection activities, including without limitation scraping, data mining, data extraction and data harvesting, on or in relation to our Platform without our express written consent. 

  5. Users must not use the Platform to transmit or send unsolicited commercial communications. 

Restricted access

  1. Access to certain areas of the Platform is restricted. TRIPFLUENCERS reserve the right to restrict access to areas of the Platform, or the whole Platform, at their discretion. 

  2. If TRIPFLUENCERS provide Users with a user ID and password to enable Users to access restricted areas of the Platform or other content or services, Users must ensure that that their ID and password is kept confidential. 

  3. TRIPFLUENCERS may disable user’s ID and password in their sole discretion without notice or explanation.

Limited warranties

  1. TRIPFLUENCERS do not warrant the completeness or accuracy of the information published on the Platform. TRIPFLUENCERS do not commit to ensuring that the Platform remains available, or that the material on the Platform is kept up-to-date. 

  2. To the maximum extent permitted by applicable law TRIPFLUENCERS exclude all representations, warranties and conditions relating to the Platform and the use of this Platform including, without limitation, any warranties implied by law of satisfactory quality, fitness for purpose and/or the use of reasonable care and skill. 

Limitations and exclusions of liability

  1. TRIPFLUENCERS do everything in their power to guarantee the highest level of service. TRIPFLUENCERS are not liable for the final quality and the manner in which the service is carried out. 
    Nothing in these terms and conditions limits or excludes liability:
    (i)  for death or personal injury resulting from negligence;
    (ii)  for fraud or fraudulent misrepresentation.

  2. TRIPFLUENCERS will not be liable to Users in respect of any:
    (i)  losses arising out of any event or events beyond their reasonable control;
    (ii) losses consequential to inaccurate, false or incorrect information or documentation provided by a User;
    (iii)  business losses, including loss of profits, income, revenue, use, production, anticipated savings, business, contracts, commercial opportunities or goodwill;
    (iv) loss or corruption of any data, database or software;
    (v)  special, indirect or consequential loss or damage.

  3. These limitations and exclusions of liability are subject to the preceding paragraph and govern all liabilities arising under these Terms including liabilities arising in contract, in tort and for breach of statutory duty. 

  4. The liability referred to in this and preceding paragraph, as well as any other liability will never exceed the net invoice value of the service provided, or redelivery of the service at TRIPFLUENCERS’ discretion and to the extent TRIPFLUENCERS are able to provide the service. 

Indemnity

  1. Users hereby undertake to indemnify TRIPFLUENCERS against any losses, damages, costs, liabilities and expenses (including without limitation legal expenses and any amounts paid by TRIPFLUENCERS to a third party in settlement of a claim or dispute on the advice of TRIPFLUENCERS’ legal advisers) incurred or suffered by TRIPFLUENCERS arising out of any breach by User of any provision of these Terms.

Breaches

  1. Without prejudice to TRIPFLUENCERS’ other rights under these terms, if Users breach these Terms in any way, TRIPFLUENCERS may take such action as they deem appropriate to deal with the breach, including suspending User’s access to the Platform, prohibiting User from accessing the Platform, blocking computers using User’s IP addresses from accessing the Platform, contacting User’s internet service provider to request that they block User’s access to the Platform and/or bringing court proceedings against the User. 

Waiver

  1. Failure of either party to insist upon strict performance of any provision of the Agreement or failure to exercise any right or remedy to which TRIPFLUENCERS are entitled shall not constitute a waiver and shall not cause diminution of the obligations under this or any Agreement. No waiver of any of the Terms shall be effective unless it is expressly stated in writing by TRIPFLUENCERS.

Force majeure

  1. Neither party shall be liable to other for any failure to perform any obligation under the Agreement which is due to an event beyond the control of such party. 

Assignment

  1. TRIPFLUENCERS may transfer, sub-contract or otherwise deal with their rights and/or obligations under these Terms without notifying Users or obtaining User’s consent. 

  2. Users may not transfer, sub-contract or otherwise deal with their rights and/or obligations under these terms and conditions. 

Severability

  1. If a provision of these Terms is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect. If any unlawful and/or unenforceable provision would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect. 

Exclusion of third party rights

  1. These Terms are for the benefit of Users and TRIPFLUENCERS, and are not intended to benefit any third party or be enforceable by any third party. The exercise of TRIPFLUENCERS and User’s rights in relation to these Terms is not subject to the consent of any third party. 

Entire agreement

  1. These Terms together with TRIPFLUENCERS’ Privacy Policy constitute the entire agreement between User and TRIPFLUENCERS in relation to use of the Platform and registering of the account, and supersede all previous agreements in respect of User’s use of this Platform. 

Law and jurisdiction

  1. These Terms will be governed by and construed in accordance with English law, and any disputes relating to these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales. 

These Terms form part of the Agreement between you and us. Your registration on our Platform indicates your understanding, agreement and acceptance of these Terms.
